Resonance Terms of Use

Please review these Terms of Use ("Terms") carefully, as they set forth the legally binding terms and conditions that govern your use of the Resonance website and application at https://resonance-capital.xyz (together, the "Service"), together with related trademarks, software, and other intellectual property. By accessing or using the Service, you agree to these Terms.

The Service is operated by Resonance Capital Management ("Resonance," "Company," "we," "us," or "our"), a Delaware entity. Your submission of information through the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms.

1)Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for complying with all laws that apply to you.

2)What the Service Is

Resonance streams real time quotes and runs the calculations that surface options hedged equity positions: a stock paired with a protective put and a covered call, together forming a collar. You can save, track, and monitor these positions. If you choose, you can connect your own brokerage account for optional automated execution. Resonance does not custody funds or securities, does not execute trades on its own books, and does not manage accounts on your behalf.

3)Not Investment Advice

Nothing in the Service is investment, legal, tax, or accounting advice, or a recommendation to buy or sell any security. Analyst price targets are third party opinions and are not guarantees. Figures shown may be illustrative or delayed. You are solely responsible for your own investment decisions.

4)Brokerage and Execution

Orders are placed through your own connected broker at limit prices. Execution and fills are not guaranteed and depend on market conditions and your broker. Options positions may be subject to early assignment. The protected floor applies at expiry; exiting a position before expiry occurs at prevailing market prices. Your broker's commissions and fees are separate and are your responsibility.

5)Accounts

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. Notify us promptly of any unauthorized use.

6)Fees

The core Service, including live quotes, calculations, and saving and tracking positions, is currently free. Optional services such as automated execution, and any future premium tiers, may be subject to fees disclosed to you at the time. Your broker's commissions are always separate.

7)Acceptable Use

You agree not to misuse the Service, including by scraping, reverse engineering, disrupting, or attempting unauthorized access, or by using it in violation of applicable law.

8)Market Data

Market data and calculations are provided "as is" and may be delayed, incomplete, or inaccurate. Do not rely on them as the sole basis for any decision.

9)Intellectual Property

The Service and its content are owned by Resonance or its licensors and are protected by law. We grant you a limited, revocable, non exclusive license to use the Service for its intended purpose.

10)Third Party Services

The Service integrates third party services, including brokers and market data providers. Your use of those services is governed by their own terms, and we are not responsible for them.

11)Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non infringement.

12)Limitation of Liability

To the maximum extent permitted by law, Resonance will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any trading losses, arising from your use of the Service. Our total liability is limited to the amount you paid us in the twelve months before the claim.

13)Indemnification

You agree to indemnify and hold Resonance harmless from claims arising out of your use of the Service or your violation of these Terms.

14)Termination

We may suspend or terminate your access at any time, including for violation of these Terms. Provisions that by their nature should survive termination will survive.

15)Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules. Any dispute will be resolved on an individual basis, and you and Resonance waive any right to a class action, to the extent permitted by law.

16)Changes

We may update these Terms from time to time. Your continued use of the Service after changes take effect means you accept the updated Terms.
